1.2   By using the Website you agree to be bound by these Terms - if you do not agree with these Terms you must immediately stop using the Website.You agree that we may change, update or otherwise amend the Websiteand these Terms at our absolute discretion.

1.3   We may end the agreement formed by the Terms immediately by giving you written notice. It is not essential to provide reasons for the termination. Where terminated, you must immediately cease using the Website.

4.1  The Website may from time-to-time contain information &advertising from third-party businesses, people &websites (Third Parties). You consent to receiving this information as part of your use of the Website.

8.3   These Terms form part of an ecommerce transaction and the parties agree that these Terms shall be accepted electronically and the agreement to these Terms is formed & validly entered into electronically.

8.4   The termination of these Terms does not affect the parties’ rights in respect of periods before the termination of these Terms.

8.5   These Terms are governed by the laws of England & Wales and you submit to the non-exclusive jurisdiction of the courts in England.

1 APPLICATION OF TERMS

In these Terms, “us”, “we” and “our” refer to Millennia and references to “you” and “your” is to you, the user of the Website and purchaser of any Products.

1.2   These Terms of Sale form a binding contract between you and Millennia upon your use of the Website and any subsequent purchase of Products. If you do not agree to be bound by these Terms, you should stop using the Website immediately and must not purchase any Products.


2  ACCOUNTS

2.1  In order to purchase Products on this Website, you are required to create an account (Account) which will contain certain personal and payment details.  By continuing to use this Website you represent and warrant that:

(a)   all information you submit is accurate and truthful;

(b)   you have permission (if required) to submit payment information; and

(c)   you will keep this information accurate and up-to-date.

2.2   We may reject, accept, suspend or terminate your Account in our absolute discretion (with or without giving reasons).

2.3   It is recommended that you do not share your Account details, particularly your username and password.  We accept no liability for any losses or damages incurred as a result of your Account details being shared by you.  If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.

2.4  If you have reason to believe that your Account details have been obtained by another person without consent, you should contact Us immediately to suspend your Account and cancel any unauthorised purchases that may be pending.  Please be aware that purchases can only be cancelled until they are dispatched.

3.1  Whilst we have taken reasonable steps to depict Product(s) as accurately as possible on the Website, images, colours or descriptions whether on the Website or in catalogues, brochures, price lists or otherwise provided by us are intended as a guide only and shall not be binding on us.We are not responsible for variations from such images and descriptions.

3.2   We neither represent nor warrant that Products will be available.

3.3   Products are sold for individual use and must not be resold.


4  PRICES& PAYMENT

4.1   All pricing information on the Website is correct at the time of going online.  We reserve the right to change prices and alter or remove any special offers from time to time and as necessary.  All pricing information is reviewed and updated daily.

4.2   In the event that prices are changed during the period between an order being placed for Products and Us processing that order and taking payment, we will confirm by email to confirm your purchase.

4.3   The prices for the Product(s) indicated on our Site at checkout include all applicable taxes, including VAT, which may be payable in respect of the Product(s) but excludes the delivery costs which will be automatically added to the total amount due when you view your Product(s).

4.4   All payments must be made at the time of ordering. Payment for all Product(s) must be by credit or debit card, or such other payment service gateway specified on the Website. We will not dispatch the Product(s) until we receive payment in full. Please note, it is possible that your card issuer may charge you an online handling fee or processing fee. We are not responsible for this.

4.5  For payment by card, all credit and debit cardholders may be subject to authorisation and authentication. If the issuer of your payment card or our service provider refuses to, or does not for any reason authorise or validate the payment, we will not be liable in these circumstances for any delay or non-delivery in respect of the Product(s) which you have ordered as a result.

4.6   By providing the relevant information to us, you specifically authorise us to transmit or to obtain information about you from third parties from time to time, including but not limited to your name, address, telephone number, debit or credit card details or credit reports, to authenticate your identity and delivery address for the Product(s), validate your payment card and obtain authorisations for your payments for Product(s).

4.7   Promotions and discount codes are non-transferable (there is no cash alternative) and cannot be used in conjunction with any other promotion code or offers, redeemed by any published expiry date.


5   PRICE GUARANTEE

5.1   We will endeavour to provide you with competitive prices. If you find a cheaper total price for a stocked item (including delivery costs and other charges) anywhere before you buya Product, we will be happy to match it for you.  If you find acheaper price within 7days of purchasing the Product, we will either pay you the difference or provide equivalent value in loyalty points (Price Guarantee).

5.2   To be eligible for a Price Guarantee: (i) the cheaper price must be available for anonline purchase of a stocked item, from a vendor registered in the UK(ii) the purchase price is denominated in GBP, for delivery to the same addresswithin the UK (iii) the cheaper price is for a productwith identical specifications, made by the same manufacturer.

5.3   In order to make a Price Guarantee claim, you must submit the following form to us by email including a screen shot of the website offer:

5.4   Where we suspect that any false or fraudulent claims have been made, or someone is abusing the spirit of the Price Guarantee, we reserve the right to refuse the related claim.


6   LOYALTY SCHEME

6.1   We may provide loyalty scheme in connection with the purchase of Products from the Website. You will be rewarded with 1 point (allocated to your Account)for each £1.00 spent on qualifying purchases on the Website (excluding delivery and shipping costs, fees and charges).

6.2   Points will be redeemable for purchases on your Account at the prevailing Millennia rate (1 point currently equals £0.10 purchase credit, subject to change as notified on the Website).

6.3  Purchases of gift cards or subject to any other promotional offers may be excluded and will not qualify for earning points. We will indicate whether a purchase qualifies for Points at the time of purchase.

6.4   Points are personal to the Account holder, cannot be assigned or transferred and cannot be redeemed or exchanged for cash.

6.5   In the event you receive a refund, or any adjustment is made, in respect of aqualifying purchase, all related points will be deducted from the Account.

6.6   Points are earned and may be accumulated annually, on purchases from 1January to 31 December each year. Points accumulated during this period must be redeemed either during this period or at any time up to 31 March of the subsequent year. Points not used before 1 April of the subsequent year shall lapse and cannot be redeemed on subsequent purchases.

6.7   Should you close your Account, you will lose all points.


7   ORDERS

7.1   No part of this Website constitutes a contractual offer capable of acceptance.  Your order constitutes a contractual offer that We may, at Our sole discretion, accept.  Orders for Product(s) must comply with the delivery requirements, minimum and maximum order quantity (if any). Our acceptance is indicated by us sending to you an order confirmation email.  Only once we have sent you an order confirmation email will there be a binding contract between us.

7.2   Order confirmations for Products shall contain the following information:

(a)   Confirmation of the Products ordered including keyspecifications of those Products;

(b)   Itemised pricing for the Products including any taxes, delivery and other additional charges;

(c)  Estimated delivery date(s) and time(s).

7.3   If for any reason, we do not accept your order, no payment shall be taken under normal circumstances.  In any event, any sums paid by you in relation to any cancelled order will be refunded within 14 calendar days.

7.4  If we terminate your Account, any current or pending purchases on your Account will not be cancelled unless prior to dispatch.

7.5   We reserve the right to cancel purchases without stating reasons, for any reason prior to processing payment and dispatch. If purchases are cancelled for any reason prior to dispatch you will be refunded any sums paid in relation to those purchases within 14 calendar days.

7.6  Returns and cancellations are governed by the Refunds Policy and these Terms. 


8   DELIVERY

8.1   Unless next day delivery has been requested, all orders below £30.00, regardless of size or weight, shall have a fixed charge of £3.50 for standard delivery. Any orders of above £30.00 will have no delivery charges and will be on standard delivery. Standard delivery is estimated to be between 3 to 5 working days.

8.2   Next day delivery is available at a cost of £5.00 (orders must to be placed before 4pm between Monday and Friday. Couriers will deliver next working day - excludes bank holidays).

8.3   All deliveries within the UK will be fulfilled by Royal Mail. You will be able to track your order directly with Royal Mail using the tracking order number that will be emailed to you directly by Royal Mail.

8.4   We can only deliver Product(s) to addresses within the United Kingdom. Contact us prior to Order with any requests for deliveries to addresses outside of the United Kingdom.We rely on third party delivery and reserve the right to cancel any order outside the UK, if delivery cannot be arranged.

8.5  The risk in the Products shall remain with Us until they come into your physical possession.  Upon delivery, you must inspect and verify the Products, with any defects or errors identified immediately to the driver.

8.6   We reserve the right to change the delivery charges and/or the delivery provider and shall notify customers of such changes at the moment of purchase.


9   CHANGES TO THE WEBSITE, THESE TERMS AND CONDITIONS

9.1   We reserve the right to change the Website, or these Terms at any time.  You will be bound by any changes to the Terms from the first time you use the Website following the changes. 

9.2   If We are required by law to make any changes to these Terms pertaining to the sale of Products, these changes will apply automatically to any Orders currently pending in addition to any future Orders.


10   LIMITATION OF LIABILITY

10.1   To the maximum extent permitted by law, we accept no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the sale or supply of the Products.

10.2   Nothing in these Terms and Conditions excludes or restricts any liability that cannot be excluded by law for:

(a)   death or personal injury resulting from any negligence or fraud on our part; or

(b)   any direct or indirect loss or damage arising out of the incorrect delivery of Products or out of reliance on incorrect information included on the Website.

10.3   In the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining Terms.  Each of the Terms shall apply only within jurisdictions where a particular term is illegal.

10.4   We are not responsible for any delay in, or failure of, delivery of Products arising from any cause beyond our reasonable control including any of the following: act of God, governmental act, war, fire, flood, explosion or civil commotion, failure in information technology or telecommunications services, failure of a third party (including failure to supply data) and industrial action.
